The short version: what we publish is provided as is. Test it against a copy of your own data before you rely on it. Nothing we make is professional advice.
These terms apply to grndtech.com and to everything published under the grndtech name — the open-source tools, the closed-source products and services, anything released after them, and any future product. They are written to cover what does not exist yet as well as what does.
Where a product has its own licence, terms of service or privacy policy, that document governs that product. Several do, including the products hosted on their own domains. These terms are the umbrella: they apply wherever a product's own document is silent, and where the two conflict, the product's own document wins.
We publish both, and the difference matters for what you may do with them.
Open-source releases ship their source publicly. Each repository carries its own LICENSE file, and that file governs your use of that code — at the time of writing, every open-source tool we have published is under the Apache License 2.0. Fork them, adapt them, use them commercially, on the terms that licence sets.
Closed-source products do not ship their source. Using one grants you a limited, non-exclusive, non-transferable right to use it as delivered, for your own purposes or your organisation's — nothing more. Unless that product's own terms say otherwise, you may not copy it for redistribution, resell or sublicense it, or decompile or reverse-engineer it. All rights not expressly granted are reserved.
Either way, a licence covers the product, not the names. It grants no rights to the grndtech name, to the name of any individual product, or to grndtech's visual identity — for open-source releases, see section 6 of the Apache licence and the NOTICE file in each repository. Forks of the open-source tools are welcome and encouraged; ship yours under your own name.
Test anything we publish against a copy of your own data before you rely on it, and before any commercial use. You are solely responsible for determining whether what we publish is appropriate for your purpose, and you assume the risks of using it. For the open-source tools this is also the licence's own position, in section 7.
Everything we publish — open source or closed, free or paid — is provided on an "as is" and "as available" basis, without warranties or conditions of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, title or non-infringement. We do not promise that it is free of defects, that it will suit your situation, that a hosted product will be available without interruption, or that it will keep working.
To the fullest extent permitted by law, LUF Studio Inc. accepts no liability for any loss or damage arising from use of what we publish, or from the inability to use it. That includes lost or corrupted data, incorrect figures, missed filing or reporting obligations, work stoppage, computer failure, lost goodwill, and any other commercial loss — whether direct, indirect, special, incidental or consequential, and whether or not we were told such loss was possible. For the open-source tools this mirrors section 8 of the licence.
Verifying the output before you act on it is your responsibility. Nothing in these terms limits liability that cannot be limited under applicable law, and nothing in them removes the statutory rights of a consumer.
Nothing we publish is professional advice, and no product of ours is a professional. Because some of what our products produce lands in areas where a qualified person is required, we would rather be explicit than general:
Where a product produces bookkeeping records, tax figures or filing packages, it is not tax, accounting or legal advice. Have a qualified professional review anything before it is filed, transmitted to a revenue authority, or relied on.
Where a product reads, compares or reports on registers, drawings, schedules, contracts or other documents, it reports what those documents say — including when they disagree. It is not a substitute for a qualified review, and it is not engineering, surveying, arboricultural, planning or legal advice.
Where a product produces or structures a record of a meeting or a decision, it carries the structure, not the substance. Accuracy and completeness remain with the person who signs the record.
Where a product drafts, summarises or analyses using AI, its output is a starting point for a qualified person to check, not a finding. AI output can be confidently wrong, and a permit, report, schedule or filing that leaves our software still carries your name on it, not ours.
More generally: our products report and transform what you give them. Deciding what is correct is a judgement they do not make for you, and it is not one we make on your behalf either.
Demonstration data shipped with our tools is invented throughout. No real organisation, place, parcel, document or person appears in any of it.
Some of our products are paid. Where one is, its own terms set the price, the billing cycle, what a subscription includes, and how cancellation and refunds work — read them before you buy, because they govern the purchase and these terms only fill the gaps.
Payment is handled by our payment processor under its own terms; we never see or store your card details. We may change pricing for future billing periods, with notice, and a beta or preview product may change substantially or be withdrawn.
Paying for a product does not change the warranty and liability position above, except where the law says it must — and where the law says it must, the law wins.
The open-source tools are free and stay free. If you choose to chip in through the support links, that payment is a voluntary donation, not a purchase. No goods or services are supplied in exchange for it.
A donation creates no entitlement to support, maintenance, updates, features or a refund, and it does not create any warranty or liability that these terms otherwise exclude. This section applies to donations only — never to a paid product, which is covered above. If a payment was made in error, write to us and we will do what we reasonably can.
Everything published on grndtech.com — product pages, case studies, screenshots, roadmaps, course material — is provided for information. We aim to keep it accurate, but we do not guarantee that it is complete, current, or that the site will be available without interruption. Roadmap items describe intent, not a commitment to ship.
Links to other sites are provided for convenience; we are not responsible for their content. How we handle the data this site and our products collect is set out in our privacy policy.
We may update these terms as what we publish changes; the date below says when they last changed. They are governed by the laws of the Province of Ontario and the laws of Canada that apply there. Questions: [email protected].
